These Mentor Terms are entered into between Genrichers Innovations Private Limited. ("Company", "we", "us", "our"), operating the Impacteers Platform (the "Platform"), and the individual mentor ("Mentor", "you", "your").
These Mentor Terms supplement and form part of the Impacteers Terms of Service, which are incorporated by reference.
By clicking "I Agree", "Accept", or by offering mentorship services through the Platform, you agree to be bound by these Mentor Terms in addition to the Terms.
You must be at least 18 years old and legally capable of entering into these Mentor Terms under applicable law.
You represent and warrant that all information regarding your qualifications, credentials, experience, and expertise provided during registration and ongoing use is true, accurate, complete, and not misleading. You shall promptly update any changes to your professional status or qualifications and shall not misrepresent your educational background, work experience, professional certifications, achievements, or affiliations with any organization.
The Company may require identity verification, background checks, proof of qualifications, professional references, or other documentation to verify your eligibility and credentials. Failure to provide accurate verification information, provision of false documentation, or adverse findings may result in rejection, suspension, or termination of your mentor status.
You represent and warrant that you are not engaging in any fraudulent activity, identity theft, credential fraud, or deceptive practices. You shall not create false profiles, use misleading photographs, or misrepresent your identity in any manner. You shall immediately notify the Company of any suspected fraudulent activity by other users or any security concerns related to your account.
The Company operates a technology platform that connects mentors with users seeking guidance ("Mentees"). The Company does not employ, supervise, directly control, or endorse Mentors nor Mentees, nor guarantee mentorship outcomes or engagement levels.
You act solely as an independent contractor providing mentorship services directly to mentees. Nothing in these Mentor Terms creates an employment, agency, partnership, joint venture, or fiduciary relationship between you and the Company. You are not entitled to any employment-related benefits and are responsible for your own expenses unless expressly agreed otherwise.
The Company makes no representation that mentees will choose to engage you, or that you will receive any minimum number of sessions, engagements, or earnings. Your success depends on your qualifications, performance, mentee satisfaction, and market demand for your expertise.
You shall provide mentorship services honestly, diligently, and professionally according to your declared qualifications and expertise. You shall maintain current knowledge in your areas of expertise, honor confirmed session schedules, provide reasonable advance notice for cancellations in accordance with Platform policies, and prepare adequately for mentorship sessions to provide value-driven guidance to mentees.
You shall treat all mentees with dignity, respect, and professionalism regardless of their background, experience level, or goals. You shall maintain appropriate professional boundaries, not exploit the mentor-mentee relationship for personal gain or inappropriate purposes, provide honest and constructive feedback, respect cultural differences and diverse perspectives, and comply with the Code of Conduct and all applicable laws in your mentorship activities.
You shall not engage in harassment, discrimination, sexual misconduct, or other prohibited behavior as defined in the Code of Conduct. You shall use Platform features and tools appropriately and for their intended purposes, report any safety concerns or policy violations by mentees to the Company through appropriate channels, and cooperate with Platform quality assurance and improvement processes.
You shall not use the Platform or mentorship sessions to sell, market, promote, or solicit mentees for any products, services, courses, programs, or business opportunities outside of the Platform. You shall not attempt to recruit mentees for employment, multi-level marketing schemes, investment opportunities, or other commercial ventures. You shall not request mentees to purchase any products or services or provide referral links, promotional codes, or direct mentees to external commercial websites for your financial benefit.
You shall not engage in fraudulent, deceptive, or misleading practices including false promises of guaranteed outcomes, misrepresentation of your success rate, fabrication of testimonials or case studies, creation of fake credentials or endorsements, impersonation of other professionals, use of unauthorized testimonials, or false claims about your association with companies, institutions, or individuals. You shall provide honest, accurate information about your background, methods, and realistic expectations for mentorship outcomes.
You shall conduct sessions professionally, maintain focus on mentee development, respect scheduled session times, and provide relevant follow-up guidance when applicable. You consent to sessions being monitored, recorded, or reviewed by the Company for safety, quality assurance, analytics, training, and AI model improvement purposes. You shall not independently record session content without explicit written consent from both the mentee and the Company, and shall cooperate with quality reviews and provide additional information when requested for service improvement.
You shall not promise, guarantee, or imply assurance of specific outcomes including employment, admissions, promotions, or salary increases. You shall clearly communicate that mentorship provides guidance and support, but ultimate success depends on mentee effort and external factors. You shall use Platform-provided AI tools responsibly as supplements to your professional expertise, acknowledge that AI outputs may be incomplete or inaccurate, exercise independent professional judgment, and maintain full accountability for all guidance provided regardless of AI tool assistance.
You shall not solicit, accept, or engage in mentorship sessions with mentees outside the Platform without the Company's prior written consent. You shall direct all mentorship-related communications through Platform channels unless explicitly authorized otherwise, not provide alternative contact methods or attempt to move mentorship relationships off-platform, and report any attempts by mentees to circumvent the Platform for direct engagement to the Company immediately.
During the term of these Mentor Terms and for twelve (12) months thereafter, you shall not directly or indirectly: (a) solicit, initiate, negotiate, enter, or otherwise engage in any business, professional, commercial, or mentorship relationship with any mentee assigned through the Platform outside the Company's systems without prior written consent; (b) solicit for employment or engagement any employee, contractor, mentor, or partner of the Company; or (c) assist any third party in circumventing the Platform to directly engage with mentees or Company personnel.
You shall accept compensation exclusively through Platform payment systems and not solicit or accept direct payments, tips, gifts, or alternative compensation from mentees. All fees and payment processing will be handled by the Company in accordance with the rates and policies displayed on the Platform. You shall comply with all tax obligations as an independent contractor, including income tax, GST, and other applicable levies on earnings received through the Platform.
The Company may impose monetary penalties, withhold payments, or suspend access for repeated no-shows, policy violations, or breach of these Mentor Terms. Penalties may include forfeiture of earnings from affected sessions and administrative fees for investigation costs. Serious misconduct may result in immediate suspension and forfeiture of pending payments.
You shall treat all mentee data, session content, communications, and personal information as strictly confidential. You shall use mentee information solely for providing authorized mentorship services, not disclose mentee identity or personal details to third parties without written consent from both the mentee and the Company, and implement appropriate security measures to protect confidential information from unauthorized access or disclosure. You acknowledge that you access mentee data as an authorized processor under the Company's control and shall follow all data processing instructions provided by the Company.
You shall maintain confidentiality of non-public Company information including Platform algorithms, business strategies, user data, and proprietary methodologies. You shall not use Company confidential information for any purpose other than providing authorized mentorship services or disclose such information to competitors or use it to develop competing services.
You shall retain mentee information only as long as necessary to provide mentorship services and comply with legal obligations. You shall delete or return all confidential information upon request or termination, except as required by law, maintain detailed records of data handling practices, and cooperate with audits when reasonably requested by the Company.
The Company acts as the data controller for all mentee personal data processed through the Platform. You act as an authorized data processor when accessing mentee information for mentorship purposes and shall process such data solely in accordance with the Company's data processing instructions and privacy policies. You shall comply with all applicable data protection laws, including without limitation, the Digital Personal Data Protection Act, 2023 (India), and the Company's data security and handling requirements. The Company shall obtain necessary consents for processing mentee data, and you shall not process such data beyond the scope authorized by the Company.
All intellectual property rights in and to the Platform, including but not limited to software, source code, algorithms, AI models, databases, designs, interfaces, trademarks, service marks, trade names, logos, trade dress, know-how, content and related documentation and materials, are and shall remain the exclusive property of the Company or its licensors. No rights are granted to you except as expressly set forth in these Mentor Terms.
Subject to your compliance with these Mentor Terms and the Agreement, the Company grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Platform solely for authorized mentorship purposes.
You retain all intellectual property rights in and to: (a) methodologies, frameworks, processes, and expertise developed by you prior to or independently of your engagement with the Platform ("Pre-Existing Mentor IP"); (b) general industry knowledge, best practices, and professional experience; and (c) your name, likeness, and professional reputation, subject to the licensing provisions herein.
The Company shall own all rights, title, and interest in and to: (a) all recordings, transcripts, analytics, and data generated through Platform tools during mentorship sessions; (b) standardized templates, forms, assessment tools, and instructional materials provided by the Platform; (c) aggregated, anonymized, and de-identified data derived from mentorship activities; and (d) Platform-specific training content, onboarding materials, and quality assurance documentation
For materials, guidance frameworks, customized content, and documentation created specifically for Platform-facilitated mentorship sessions and incorporating Platform tools or data ("Session Deliverables"), you hereby grant to the Company a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, reproduce, modify, display, and create derivative works from such Session Deliverables for the purposes of: (a) operating and improving the Platform and Services; (b) quality assurance, analytics, and performance monitoring; (c) developing AI models and recommendation systems; and (d) training and onboarding other mentors, provided that Pre-Existing Mentor IP is excluded from this license.
By submitting profile information, testimonials, case studies, and promotional content, you grant the Company a worldwide, royalty-free, transferable, sublicensable, and perpetual license to use, host, reproduce, display, distribute, modify, and create derivative works from such content for marketing, promotional, and Platform improvement purposes. This license shall survive termination of these Mentor Terms.
You acknowledge and consent that the Company may use session interaction patterns, mentorship approaches, communication methodologies, and behavioral analytics (in anonymized and aggregated form) to develop, train, test, and improve AI models, machine learning algorithms, recommendation systems, and Platform features. You represent and warrant that: (a) no personally identifiable information of mentees shall be disclosed without appropriate consent; (b) your specific proprietary methodologies constituting Pre-Existing Mentor IP shall not be directly replicated in AI outputs without your consent; and (c) you may withdraw consent for future AI training by providing thirty (30) days' written notice to the Company, which withdrawal shall not affect previously collected data.
You represent, warrant, and covenant that: (a) all Session Deliverables and content submitted shall be your original work and shall not infringe third-party intellectual property rights; (b) you have all necessary rights and authorizations to grant the licenses set forth herein; (c) you shall not incorporate confidential or proprietary materials of third parties, including former employers or clients, without proper authorization and disclosure; and (d) all mentorship services and materials comply with applicable professional standards and legal requirements.
You shall not, without the Company's prior written consent: (a) use Session Deliverables or Platform-derived insights to develop competing services or platforms; (b) publicly disclose, publish, or present any Session Deliverables, methodologies, or case studies incorporating Platform-specific elements; (c) remove, alter, or obscure any proprietary notices or attributions in Platform materials; or (d) reverse engineer, decompile, or attempt to extract algorithms or trade secrets from Platform technology.
Upon termination of these Mentor Terms: (a) you shall retain all rights in Pre-Existing Mentor IP; (b) licenses granted to the Company under Clauses 6.5, 6.6, and 6.7 shall survive; (c) your right to use Session Deliverables shall terminate except for general knowledge and experience acquired; and (d) both parties may continue to use anonymized, aggregated data for their respective business purposes in compliance with applicable law.
You represent and warrant that: you have full legal capacity and authority to enter into these Mentor Terms; all information provided during registration and ongoing use is true, accurate, complete, and not misleading; you are not disqualified from providing mentorship services under any applicable law; no criminal or regulatory proceedings are pending that would materially affect your ability to perform mentorship services; all mentorship services and Deliverables will be your original work and will not infringe third-party rights; you have implemented appropriate technical and organizational measures to ensure the security of mentee data; you are not subject to any debarment or prohibition from providing professional services by any regulatory authority; and you will perform services professionally, ethically, and in accordance with applicable laws and these Mentor Terms.
You agree to undergo periodic compliance reviews and provide documentation as reasonably requested by the Company, immediately notify the Company of any material changes to your professional status or legal authorization to provide mentorship services, promptly cure any compliance deficiencies identified by the Company, and cooperate fully with any investigations related to your use of the Platform.
You shall indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and representatives from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: any gross negligence, willful misconduct, or fraud in connection with mentorship services; any third-party claims that your services or Deliverables infringe intellectual property rights; any breach of these Mentor Terms, confidentiality obligations, or non-solicitation provisions; any violation of applicable law in connection with mentorship services; any disputes between you and mentees or third parties; any unauthorized disclosure of confidential information; any violation of the non-circumvention or platform exclusivity provisions; any misrepresentation in your profile, credentials, or service descriptions; any failure to comply with professional licensing or regulatory requirements; or any content, information, or materials submitted by you to the Platform.
The Company may, at its option, assume control of the defense of any claim subject to indemnification. You shall not settle any claim that admits liability on behalf of the Company or imposes obligations on the Company without the Company's prior written consent.
To the maximum extent permitted under applicable law, the Company shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages, including but not limited to loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings, arising out of or in connection with these Mentor Terms or your use of the Platform, even if advised of the possibility of such damages and regardless of the theory of liability, whether in contract, tort (including negligence), or otherwise.
To the maximum extent permitted by law, the Company's total aggregate liability arising out of or in connection with these Mentor Terms, the Platform, or mentorship services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the lesser of: (i) the total fees paid to you by the Company in the three (3) months preceding the first event giving rise to liability; or (ii) INR 10,000 (Rupees Ten Thousand only).
You may terminate your mentor status at any time by deactivating your account, subject to completion of scheduled sessions and pending obligations. The Company may suspend or terminate your mentor access for: violation of these Mentor Terms, the Terms, or the Code of Conduct; professional misconduct, including harassment, discrimination, or inappropriate behavior; repeated no-shows, poor performance, or negative mentee feedback patterns; misrepresentation of qualifications, credentials, or fraudulent activity; engaging in prohibited commercial activities or soliciting mentees for external products or services; violation of non-solicitation, non-circumvention, or platform exclusivity provisions; circumventing Platform systems or engaging in off-platform activities without authorization; providing false information during registration or verification processes; or as required by law or to protect Platform integrity and user safety.
Upon termination, your access to mentor features and mentee information ceases immediately. You must complete any scheduled sessions or arrange appropriate handovers through the Company. You shall delete all mentee and Company confidential information except as required by law. Payment obligations for completed sessions remain due. You remain liable for any violations or misconduct that occurred during your mentorship period.
The following provisions survive termination: intellectual property rights, confidentiality obligations, data use restrictions, indemnification, limitation of liability, dispute resolution, payment obligations accrued prior to termination, and any licenses granted by you to the Company.
These Mentor Terms supplement the Terms and form part of your comprehensive agreement with the Company. All provisions of the Terms apply to mentors except where specifically modified by these Mentor Terms.
For mentor-specific obligations and activities, these Mentor Terms govern. For all other Platform use, the Terms govern. The Code of Conduct applies to all Platform activities.
The Company may update these Mentor Terms by providing notice as described in the Terms. Continued provision of mentorship services after updates constitutes acceptance of revised terms.
Governing law, jurisdiction, dispute resolution, communication, force majeure, assignment, severability, and other general provisions are as set forth in the Terms and apply to these Mentor Terms.
